WEBSITE DESIGN AGREEMENT

Web Design Agreement *My desire is to completely satisfy the client. One way to do this is to make certain that we understand each other. These are the terms of our agreement together

The below-named client is engaging Enhanced Web Concepts, a sole proprietor, as an independent contractor for the specific project of developing and/or improving a website to be installed on the client's web space on a web hosting service's computer.

The client hereby authorizes Enhanced Web Concepts to access this account and authorizes the web hosting service to provide Enhanced Web Concepts with "write permission" for the client's web page directory, cgi-bin directory, and any other directories or programs that need to be accessed for this project (if client has an existing website). The client also authorizes Enhanced Web Concepts to publicize their completed website to web search engines, as well as other web directories and indexes.

MAINTENANCE

Minor web page maintenance to regular web pages over 2 weeks, including updating links and making MINOR changes to a sentence or paragraph. The two-week period commences upon the date the client makes the final payment and we launch the website.

Any future edits and site maintenance after the initial two-week period can be provided at $175/hour (billed in 15-minute increments). This rate shall also govern additional work such as services but are not limited to:

telephone consultation, marketing consultation, web page design, editing or modifying web pages, and additional photos/graphics services

CONTENT

The content of the web pages will be provided by Enhanced Web Concepts approved by the client and executed as specified by the client in our edit meeting. Any content the client provides must be licensed and copyrighted, Enhanced Web Concepts does not and will not take responsibility for any content provided by the client. At that time we will discuss the appropriate number of pages and content for the "client's website". In case the client desires additional standard web pages beyond the original number of pages specified in our edit meeting, the client agrees to pay Enhanced Web Concepts an additional $375 minimum for additional web pages.

I AGREE - DELAY The client agrees to launch the website within two weeks if an extension is needed an additional $250 will be billed quarterly every time the projected has been delayed. Unless otherwise discussed see below.

I AGREE - CHANGES TO SUBMITTED TEXT Please send your final text ASAP in order to keep the project moving in a timely manor. Changes to original submitted text must be sent 3 days prior to the two week expiration date (free editing and support.) Time required to make substantial changes to client submitted text after the web pages have been constructed will be additional, and billed at the hourly rate of $175. At no time will Enhanced Web Concepts bill a client without their knowledge.

I AGREE - TWO WEEKS FREE EDITS This begins Immediately after the website launches. This includes minor edits like changing a sentence or the menu tab arrangement. Free Edits do NOT involve adding pages or additional services to your website. If additions are required, they will be billed accordingly at $175 Per Hour.

I AGREE - WEB HOSTING The client understands that any web hosting service will require a separate contract. The client agrees to let Enhanced Web Concepts select the hosting service. Hosting service through WIX per month payments are approximately $22-$99 per month (this price is discussed during initial meeting) NOTE: These prices are subject to change as they are provided by your hosting company NOT Enhanced Web Concepts. I will offer any current discount provided by your host.

SEO Enhanced Web Concepts has no control over the policies of search engines or directories with respect to the type of sites and/or content that they accept now or in the future. Customer’s website(s) may be excluded from any search engine or directory at any time at the sole discretion of the search engine or directory entity. Enhanced Web Concepts will resubmit those pages that have been dropped from the index.

I UNDERSTAND - Some search engines and directories may take as long as 2-4 months, and in some cases longer, after submission to list website(s). Occasionally, search engines and directories will stop accepting submissions for an indefinite period of time. Occasionally, search engines will drop listings for no apparent or predictable reason. Often, listings will “reappear” without any additional submissions. Should the listing not reappear, Enhanced Web Concepts will re-submit the website(s.)

LEGAL INFORMATION

Enhanced Web Concepts does not warrant that the functions contained in these web pages or the Internet website will meet the client's requirements or that the operation of the web pages will be uninterrupted or error-free. The entire risk as to the quality and performance of the web pages and website is with the client. In no event will Enhanced Web Concepts be liable to the client or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate these web pages or website, even if Enhanced Web Concepts has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforce of any remaining provisions. Furthermore, Enhanced Web Concepts is by no means responsible for WIX servers going down and/or any issues that may arise with WIX.

COPYRIGHTS & TRADEMARKS - The client represents to Enhanced Web Concepts and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Enhanced Web Concepts for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Enhanced Web Concepts and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

COPYRIGHT TO WEB PAGES Copyright to the finished assembled work of web pages produced by Enhanced Web Concepts is owned by Enhanced Web Concepts. Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Enhanced Web Concepts and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios.

DELINQUENT PAYMENTS Payments must be made promptly. Delinquent bills will be assessed a 10% charge if payment is not received within 15 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency. Enhanced Web Concepts reserves the right to remove web pages from viewing on the Internet until final payment is made. In cases when collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by the client. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Suffolk County, New York, and any dispute will be litigated or arbitrated in Suffolk County, New York. Please pay on time.

AGREEMENT The agreement contained in this Website Design Contract constitutes the sole agreement between Enhanced Web Concepts and the client regarding this website. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for three (3) months after both parties sign this contract. Continued services after that time will require a new agreement.

REFUND POLICY If the client halts work and applies by registered letter for a refund within 30 days to Enhanced Web Concepts, work completed shall be billed at the hourly rate of $175, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the refund request, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate of $175.00. No portion of this initial retainer will be refunded unless a written application is made within 30 days of signing this contract.
